Shopify Rewards Promotion

The Shopify Rewards Promotion ("Promotion") allows you to earn subscription credits based on your monthly sales ("Credits"). Credits are issued in accordance with the terms below.

To participate, you agree to be bound by these terms, which become part of the Shopify Merchant Terms of Service (the "Shopify TOS"). Capitalized terms not otherwise defined here follow their definitions in the Shopify TOS.

Eligibility

  • Only Merchants who are invited to participate in the Promotion are eligible for the Promotion. Merchants must meet the following conditions:
    • Complete 3-day free trial
    • Sign up for one of the Shopify service subscription plans while the Promotion is available: "Basic", "Grow", or "Advanced," plans (altogether "Qualifying Plans");
    • Successfully pay for one billing cycle ("Shopify Service Plan Subscription") on a Qualifying Plan within 30 days of creating your Store;
  • You will no longer be eligible for the promotion if you: (i) are no longer subscribed to a Qualifying Plan, (ii) go inactive during the Promotion Period (defined below), (iii) cancel your Merchant account or Store during the Promotion Period (iv) are in violation of these terms, (v) you have reached the maximum amounts earned for your current plan as specified below, (vi) or the promotion period of 6 months has expired.

Earning the Promotion

  • Credit may be earned during the "Promotion Period." The Promotion Period is a period of 6 months, beginning on the date you first select a Qualifying Plan. Sales that occur outside of the Promotion Period are not eligible to be included in the calculation of earned credits.
    • The Promotion Period consists of 6 payout periods. Total sales will be summed for each payout period and used to calculate the Credit.
    • Total Sales represents the total dollar value of orders facilitated through the Shopify platform including certain apps and channels for which a revenue-sharing arrangement is in place in the period, net of refunds, and inclusive of shipping and handling, duty and value-added taxes.
  • During the Promotion Period, Merchants may earn back a percentage of sales in the form of a subscription credit. Merchants will earn 1% back on all transactions processed through Shopify Payments and 0.5% back on all non-Shopify Payments transactions, up to the maximum amount for the selected plan. Below is an example of USD sales earned with 1% back:
    • Basic Plan: up to a maximum of $5,000 (USD) back in Credits for $500,000 (USD) in sales;
    • Grow Plan: up to a maximum of $7,500 (USD) back in Credits for $750,000 (USD) in sales; or
    • Advanced Plan: up to $10,000 (USD) back in Credits for $1,000,000 (USD) in sales.
  • In calculating Total Sales, Shopify will convert all orders to USD to calculate the Credit amount and use the current foreign exchange ("FX") rates at time of payout. The Credit will be issued to your Shopify account in USD, and subsequently converted to your shop's billing currency on the issuing day, if applicable.
  • Credits will not be applied until you reach a $1000 USD sales threshold (or the local currency equivalent thereof). Credits will be added to your account every month once the threshold has been met.
  • Refunded orders will be deducted from the Total Sales calculation in each payout period. If Total Sales is negative for a payout period, that amount will be carried over into future payout periods.
  • If you switch plans during the Promotion, your earned Credits, including plan credit caps, will be based on the newly selected plan.
  • The Credit is deposited into your Shopify account on a monthly basis. The Promotion payment may take up to ten (10) days from the end of your monthly payout period to be applied to your Shopify bill.
  • Any remaining Credits that are not applied to the current month's subscription invoice will be carried over and apply to the next month's subscription invoice.

Redemption, Refunds, Transfers:

  • Redemption: Credits earned during the Promotion may be applied to any plan during and after the Promotion Period. Credits will be automatically applied to your upcoming Shopify Service Plan Subscription invoice. Any unused Credits will rollover into the next month's invoice.
  • Non-Transferable, non-refundable: Credits are non-refundable, non-transferable, not valid for cash or cash equivalent, may not be combined with other offers, and must be used in the currency in which they were received. Credits can only be redeemed on upcoming Shopify Service Plan Subscription fees.
  • Expiration or termination: If you cancel your Merchant account or Store, or your Merchant account or Store is terminated by Shopify (for example, for potential Shopify TOS violations, or failure to pay your Shopify bills), Credits will be automatically removed and will not be reapplied upon reactivation. Credits expire after 60 days of not having an active Shopify Subscription. If you do not pick a plan during the free trial, the Store is still eligible for enrollment in the Promotion, as long as a plan is selected within 30 days from the Store creation date. Stores that exceed this 30-day period will become ineligible.

Other Fees, Taxes, Liability:

  • You remain responsible for all other Fees payable under the Shopify TOS, including, without limitation, foreign exchange fees and third-party transaction fees that are applicable when processing transactions using a third-party payment provider ("Additional Fees"). You are not entitled to any promotion on any such Additional Fees.
  • You are responsible for any and all tax liability resulting from earning the Promotion.

General

  • Eligibility; cancellations: Determinations of eligibility for this Promotion will be made in Shopify's sole discretion. Shopify reserves the right to any remedy, including cancellation of your account or Credits, if fraud, tampering, technical errors, or violations of Shopify's TOS are suspected.
  • Changes; Termination: Shopify reserves the right to cancel or change the Promotion or these terms at any time in its sole discretion.
  • Notice: Any notice provided by us with respect to these terms will be deemed provided the day it is posted on our website.
  • Governing law: These terms and this Promotion shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
  • Severability: If any provision in these terms is deemed invalid, void, or unenforceable, such provision (or the portion of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.
